1. Who We Are

AY Designs is a design agency specializing in UI/UX design, SaaS product design, landing pages, brand identity, and design systems for AI-first businesses and startups.

Our sister company, AY Automate (ayautomate.com), handles AI automation development. These Terms apply specifically to AY Designs services.

2. Scope of Services

The deliverables, timeline, and scope of each engagement are defined in a separate Project Proposal or Statement of Work (SOW) agreed upon before work begins.

• Work outside the agreed scope is subject to additional fees.

• Scope changes must be requested in writing and approved by both parties before work proceeds.

• AY Designs reserves the right to decline scope expansions that conflict with project timelines or resource availability.

3. Payment Terms

3.1 Project Fees

All pricing is agreed upon in writing before a project starts. Fees are non-negotiable once a project is underway unless a formal scope change is approved.

3.2 Payment Schedule

• Deposit: A minimum 50% deposit is required before any work begins. No exceptions.

• Milestone payments: Remaining balance is typically split across project milestones as outlined in your SOW.

• Final delivery: Final files are released only upon receipt of full payment.

3.3 Late Payments

Invoices are due within 7 days of issue unless otherwise agreed. Overdue invoices may incur a 1.5% monthly late fee. AY Designs reserves the right to pause or halt work on any project with outstanding unpaid invoices.

3.4 Refunds

Deposits are non-refundable. If a client cancels a project after work has begun, fees for completed work are owed in full. Any unused portion of a prepaid retainer may be refunded at AY Designs' discretion.

4. Intellectual Property

4.1 Client Ownership

Upon receipt of full payment, the client receives full ownership of all final deliverables created specifically for their project. This includes design files, exported assets, and any custom-created components.

4.2 AY Designs Ownership

AY Designs retains ownership of:

• All work-in-progress, drafts, and iterations not included in final deliverables

• Internal tools, templates, and frameworks used during production

• Any pre-existing design systems or proprietary processes

4.3 Portfolio Rights

AY Designs reserves the right to display completed work in our portfolio, case studies, and marketing materials. If you require confidentiality, notify us in writing before the project starts. We will honor NDA-protected work.

4.4 Third-Party Assets

Any stock images, fonts, icons, or third-party assets used in a project are subject to their respective licenses. The client is responsible for securing proper licenses for commercial use of any third-party assets included in deliverables.

5. Client Responsibilities

A project moves as fast as both parties move. To keep timelines on track, clients are responsible for:

• Providing all required assets, brand guidelines, and content on time

• Responding to feedback requests within 3 business days

• Designating a single point of contact for approvals and decisions

• Providing clear, consolidated feedback (not contradictory feedback from multiple stakeholders)

Delays caused by the client may result in revised timelines or additional fees to reschedule production resources.

6. Revisions

Revision rounds are defined in your SOW. Standard engagements include up to 3 rounds of revisions per major deliverable. Additional revision rounds are billed at the hourly rate specified in your agreement.

• A revision is defined as changes within the original agreed scope.

• New directions, full redesigns, or scope changes are not revisions. They are new work and will be scoped and priced separately.

• Revisions must be submitted in a single consolidated document, not in multiple separate messages.

7. Approvals and Sign-Off

Each milestone requires written client approval before the next phase begins. Written approval includes email, Slack message, or any documented digital confirmation.

If a client does not respond to an approval request within 10 business days, AY Designs may treat the milestone as approved and proceed to the next phase.

8. Confidentiality

Both parties agree to keep confidential any non-public information shared during the engagement. AY Designs will not disclose your product strategy, user data, or business information to third parties.

If a formal NDA is required, it must be executed before any project kickoff call or discovery session.

9. Limitation of Liability

AY Designs' liability in any claim arising from our services is limited to the total fees paid for the specific project in question.

AY Designs is not liable for:

• Loss of revenue, profits, or business opportunities resulting from design decisions

• Outcomes dependent on third-party platforms, tools, or services (Framer, Webflow, etc.)

• Delays caused by client-side delays or third-party dependencies

• Any indirect, incidental, or consequential damages

10. No Guarantee of Results

AY Designs delivers professional, conversion-focused design based on best practices. We do not guarantee specific business outcomes, conversion rates, revenue increases, or traffic results. Design is a significant lever, but it is one of many factors that influence business performance.

11. Termination

11.1 Termination by Client

The client may terminate a project at any time with written notice. Fees for all work completed to date are owed in full. The deposit is non-refundable.

11.2 Termination by AY Designs

AY Designs may terminate an engagement if:

• The client fails to make payment on time

• The client is abusive or disrespectful to our team

• The project conflicts with our values or involves unlawful activity

In such cases, fees for completed work are owed and final files may be withheld until payment is received.

12. Governing Law

These Terms are governed by the laws of the jurisdiction in which AY Designs operates. Any disputes will be resolved through good-faith negotiation first. If unresolved, disputes will be submitted to binding arbitration before any legal action is pursued.

13. Changes to These Terms

AY Designs may update these Terms from time to time. The updated version will be posted on our website with a revised date. Continued use of our services after an update constitutes acceptance of the new terms. For active projects, the terms in place at the time of project kickoff apply unless both parties agree to updated terms in writing.
